PSG - shortlisted for the DealMakers Brunswick Deal of the Year 2022
CDH is working with the PSG Group on a complex deal, valued at over R20 billion, that incorporates M&A, capital markets and restructuring.
Our team is advising PSG on the restructuring of the group, which includes the unbundling of all PSG Group's shares in PSG Konsult, Kaap Agri, Curro, Stadio and CA Sales, which are all listed on the Johannesburg Stock Exchange. This restructuring falls under the Companies Act 71 of 2008 because, ahead of its delisting, the PSG Group is disposing of the majority of its assets and repurchasing shares from the majority of shareholders in terms of a scheme of arrangement.

The more firms know about their market, economic factors and customers, the more likely they are to succeed. This drive for data accumulation raises questions of whether such practices can, in addition to potentially violating data protection laws, be a transgression under competition law?

Acquisitive prescription of property: Is it still applicable in cases where there has been illegality?
Dhanwanthie Gianchandi (the possessor), along with her late husband, purchased a house three houses away from the property in April 1990. The property was undeveloped and deserted and the possessor and her family made improvements to the property, transforming it into a functional nursery and community park. The possessor had been running the nursery and park at her own cost since 1990. At the time the possessor’s application was brought, the improvements made to the property amounted to approximately R950,000 and the possessor also absorbed the park’s running costs of R16,000 per month.

Constitutional Court clarifies when retrenchments are merger specific
South Africa faces one of the highest unemployment rates in the world. This is the primary reason that the Competition Commission (Commission) must consider the effect on employment (as part of its public interest assessment) when evaluating a proposed merger. It has become standard practice in South Africa when there is a merger for restrictions to be imposed by the competition authorities – especially in respect of retrenchments.
