CDH is working with the PSG Group on a complex deal, valued at over R20 billion, that incorporates M&A, capital markets and restructuring.
Our team is advising PSG on the restructuring of the group, which includes the unbundling of all PSG Group's shares in PSG Konsult, Kaap Agri, Curro, Stadio and CA Sales, which are all listed on the Johannesburg Stock Exchange. This restructuring falls under the Companies Act 71 of 2008 because, ahead of its delisting, the PSG Group is disposing of the majority of its assets and repurchasing shares from the majority of shareholders in terms of a scheme of arrangement.

CIPC Announcement on beneficial ownership
CIPC has once again issued a warning in connection with beneficial ownership filings. They notified the public yesterday that with effect from 1 July 2024, it will not be possible to file an annual return unless there has first been compliance with the requirement to submit a securities register and beneficial ownership information or beneficial interest information (as applicable).

Recent amendments to South Africa’s trust and non-profit organisation legislation in response to the Financial Action Task Force greylisting: Part two
Part one of this series ( which you can read here ) dealt with the amendments that are relevant to non-profit organisations. As alluded to in that article, the General Laws (Anti Money Laundering and Combatting Terrorism Financing) Amendment Act 23 of 2022 also amended the Trust Property Control Act 57 of 1988 (TPCA). The Legislature passed amendments (effective from 1 April 2023) which impose disclosure and administrative obligations on trustees (specifically when transacting with institutions listed in the Financial Intelligence Centre Act 38 of 2002 (FICA)).
