Luyolo has experience across diverse sectors, including: commercial real estate, horseracing & gambling, transport & logistics, higher & tertiary education, retail, FMCG, healthcare and pharmaceuticals, financial services, hospitality and leisure, as well as agriculture (cultivation, production and sales of soya beans, seed maize, wheat, farm ownership and management services, production and supply of fruit)
Part of the team that represented numerous listed and unlisted clients in the property sector in successfully obtaining merger approvals, including Old Mutual, Capital Property Fund, Fortress REIT Limited, Spear REIT Limited, OneLogix Group and Atterbury Property Fund
Represented Mediclinic in obtaining various horizontal merger approvals in the private hospital market, most recently including the successful large merger involving Mediclinic International Plc, Remgro and MSC
Involved in several noteworthy matters including being part of the team that represented and advised: GMB Investments on the successful large merger involving Hollywood Sportsbook Holdings and Kenilworth Racecourse.
Mediclinic International, the third largest operator of hospitals in South Africa, on the cash acquisition of Mediclinic International from its minority shareholders by Manta Bidco, a newly-formed company owned by joint offerors, Remgro, through its relevant subsidiaries; and SAS Shipping Agencies Services, a wholly-owned subsidiary of MSC Mediterranean Shipping Company. This has required extensive engagement with the Competition Commission as well as the Department of Trade, Industry and Competition, particularly in respect of the public interest assessment.
Various Old Mutual group firms, for example: Futuregrowth's investments in the South African College of Applied Psychology and Safe Farm Ventures.
Advised clients in relation to their compliance with the Consumer Protection Act and Protection of Personal Information Act (POPI), as it relates to compliance with privacy laws and data protection regulation.
Advised clients in relation to compliance with the National Credit Act (NCA) and drafting NCA compliant agreements and policies as well as advisory opinions.
Advised clients in relation to the application of the provisions of the B-BBEE Act and Codes; Engaging with the B-BBEE Commission on behalf of clients; and Drafting founding documents in relation to BBOS and ESOP structures.
Conducting due diligence investigations; and Drafting and reviewing commercial agreements such as sale of shares agreements, sale of business agreements, subscription agreements, shareholders' agreements and share purchase agreements
