New earnings threshold effective 1 April 2024

As of 1 April 2024, South Africans will see the implementation of the increased annual earnings threshold determined by the Minister of Employment and Labour (Minister) in the amount of R254,371.67. On 11 October 2024, the Department of Mineral Resources and Energy (DMRE) released the Guidance Note for the Management of Latent Tuberculosis Infection (LTBI) in the South African Mining Industry (Guidance Note). This has been developed by a task team established by the Mining Industry Tuberculosis,Human  Immunodeficiency Virus, and Acquired Immunodeficiency Syndrome Advisory Committee (MITHAC) and outlines a strategic framework to address latent tuberculosis (TB) within the sector. It has had regard to standards and procedures recognised globally.

No blissful ignorance for non-compliance: The Turquand rule and section 20(7) in the context of special resolutions and fundamental transactions

The Turquand rule has been discussed and fairly applied in the South African jurisprudence. However, an interesting question remains as to whether the Turquand rule or section 20(7) of the Companies Act 71 of 2008 (Companies Act) can be used to compel a party to implement a transaction where the party has not complied with the applicable provisions of the Companies Act requiring a special resolution of shareholders for the disposal of all or a greater part of the company’s assets or undertaking, amalgamation or merger, or a scheme of arrangement (fundamental transactions). The jurisprudence has adopted the take-no-prisoners approach sofar.
