CDH's Corporate & Commercial and Tax & Exchange Control practice areas advised the purchaser consortium, comprising the M&C Saatchi South Africa leadership, in relation to the acquisition of all the shares in M&C Saatchi South Africa Group held by M&C Saatchi plc. The transaction represents an important milestone for the South African M&C Saatchi business which will, following the transaction, be majority-owned and operated by local management.

'New Dawn' for Public Procurement in South Africa: The Public Procurement Act becomes law
Following its adoption by the National Assembly on 16 May 2024, President Cyril Ramaphosa on 23 July 2023, assented to signed into law the Public Procurement Act 28 of 2024. The Public Procurement Act seeks to create a single framework that regulates public procurement, including preferential procurement, by all organs of state, with the necessary efficiency, cost-effectiveness and integrity and enhance transparency and integrity, among others, to combat corruption, ensure efficient, effective and economic use of public resources and advance transformation and broadened economic participation.

Analysis of the Court of Appeal’s ruling regarding income tax waivers issued via Gazette Notices
On 17 February 2023, the High Court declared section 13(2) of the Income Tax Act (ITA), which grants the Cabinet Secretary power to exempt certain income from tax, to be unconstitutional. The section provides that the Minister may, by notice in the Kenya Gazette, exempt from tax any income or class of income which accrued in or was derived from Kenya. National Small Enterprise Amendment Act: Changes afoot?
On 27 September 2024, the President brought into operation certain sections of the National Small Enterprise Amendment Act 21 of 2024 (Amendment Act), which amends the National Small Enterprise Act 102 of 1996 (Principal Act). The Amendment Act was assented to by the President on 18 July 2024 and aims, inter alia , to enhance support for small and medium businesses as part of broadening participation in the economy for a greater number of South Africans. This is to enable an equitable trading environment for small enterprises, through the provision of affordable and effective access to justice, and to empower the Minister of Small Business Development (Minister) to declare certain practices in relation to small enterprises to be prohibited as unfair trading practices.
