Our team advised MCB in relation to the security release of certain secured petroleum assets that the borrower was selling to a third party.
We advised on the proposed release mechanism to ensure that the lender was paid from the purchase price whilst protecting its interests. We reviewed the security agreements and partial discharge of charge and attended to its perfection.
We had to think carefully about the mechanism for release of the security to ensure that the sale transaction could proceed to completion while ensuring that the lender was adequately protected. The notice on the deal is here: https://gulfenergy.co.ke/downloads/communication-to-suppliers-and-partners.pdf

The Social Health Insurance Act and its implications
In a Gazette Notice on 21 November 2023, the Cabinet Secretary for Health designated 22 November 2023 as the commencement date of the Social Health Insurance Act, 2023 (SHIA). This act repeals the National Health Insurance Fund Act, 1989 (NHIF Act) to establish a framework for the management of social health insurance. Nonetheless, the High Court in a recent ruling suspended SHIA’s implementation until February 2024 on grounds of lack of proper public participation.

Tax exceptionalism in circumstance
Love it or hate it, tax exceptionalism (the idea that, due to its specialised nature, tax law operates within its own parameters) tends to arise when tax disputes cross the boundary between tax law and other areas of the legal landscape. The (now) not so recent amendment to section 105 of the Tax Administration Act 28 of 2011 (TAA) is an example of this as it tries to restrict tax disputes to specialised forums such as the Tax Court. In particular, the crossover between this section and administrative law is a circumstance where tax exceptionalism can become contentious, as it did again in the case of Trustees of the CC Share Trust and Others v Commissioner, SARS (38211/21) ZAGPPHC 597 (24 July 2023) ( CC Share Trust ).

Who will blink first?
In the arena of competition law, it is not unusual to see large corporates battle with regulators. However, in recent years, powerful companies have gone further – by pulling the plug on their provision of products and services entirely – when they perceive regulation going too far. Does this illustrate unbridled market power, or unbridled regulation to the detriment of consumers and users?
