Our banking & finance team has been providing legal and strategic counsel in connection with a range of financial services regulatory, tax and exchange control issues linked to award-winning investortech and fintech company, First World Trader. We have been advising in connection with the launch of South Africa's very first US Securities Fractional Trading Platform. Our work on this mandate included drafting the novel legal terms & conditions for investors to repatriate funds and purchase a combination of whole securities and fractions of securities listed on US stock exchanges. This included advice on the nominee structure, offshore custodial and brokerage arrangements, required exchange control approvals from the South African Reserve Bank, tax considerations and ancillary matters.

For the love of the game: Tax planning and compliance considerations for the South African sports and entertainment industries

South Africa’s sports teams, sportspeople, and entertainers have made the country proud over the last few months for their exploits on the international stage. In November 2023, the Springboks became the first team to win the Rugby World Cup four times. The South African cricket team made it to the semi-finals of the ICC Cricket World Cup where they narrowly lost to Australia, and Bafana Bafana made it to the semi-finals of the 2023 Africa Cup of Nations tournament for the first time in more than 20 years. On the individual front, Dricus du Plessis became the first South African to hold an Ultimate Fighting Championship belt, and a few days ago, Tyla won the Grammy for the Best African Music Performance, with artist Musa Keys also having been nominated in that category. Kgothatso Montjane also won the women’s wheelchair doubles titles at the French Open and US Open in 2023 and made it to the women’s wheelchair singles final atWimbledon.

The Supreme Court of Appeal (SCA), in the recent case of Allied Steelrode (Pty) Ltd v Dreyer and Another ZASCA 181, set aside an order of the Gauteng Division of the High Court, Johannesburg, after it had concluded that a loan agreement entered into between parties who shared a close bond and where no interest was levied against the borrower, was subject to the National Credit Act 34 of 2005 (NCA) and that a subsequent acknowledgement of debt (AOD) constituted a credit agreement under the NCA.
