Experience
Assisting with the provision of advice, support and assistance to the public sector (including, municipalities, municipal entities, provincial departments and public entities) on various aspects and matters arising within the legal framework within which organs of state, or public- or municipal entities operate in, including the appropriation legislation, treasury related legislation, guidance notes, directives, including, without limitation, advice and provision of assistance pertaining to, preparation of contracts and documentation, including policies, constitutional documentation, due diligence and feasibility reports and procurement documentation, supply chain management, procurement, public-private partnerships, property management and development.
Assisting the Lead Legal Transaction Advisor with the provision of advice and assistance in regard to various property development Public Private Partnerships, the provision of due diligence services, the preparation and/or commenting on specific aspects of the feasibility studies produced by the Technical Transaction Advisor, the provision of specific commercial legal and regulatory advice to client representatives, team leaders and, where applicable, members of the relevant council.
Assisting with the provision of legal advice to clients within the public sector by providing a legal view/opinion on general and specific matters affecting the public sector client in question, including client policy-based advice (e.g., SCM Policies, U-AMP, C-AMP etc), statutory and regulatory compliance advice and procurement-focused advice.
Facilitating and performing due diligence investigations and reports for listed and private companies.
General corporate and commercial experience including drafting of agreements for commercial transactions including sale of share agreements, share purchase agreements, sale of business agreements, subscription agreements, asset sale agreements, section 42 asset for share agreements, incentive scheme documentation, management agreements, sub-lease agreements, assignment agreements and cession agreements.

Reviewing legislation, case law and guidelines around public consultation processes and assisting with the provision of recommendations to PASA in respect of the MPRDA and NEMA.
Reviewing property-related agreements for regulatory compliance pursuant to due diligence investigations.
Drafting legal opinions on legislative interpretation of various commercial and property-related legislation and case law.
