Although International Women’s Day is marked on 8 March, we believe it should be celebrated, and women should be recognised all year round. In this spirit, we gathered a powerhouse panel of women in law to discuss the evolving role of women in the African legal sector.

Expanding the list of zero-rated foodstuffs: Will it really benefit the poor?

No blissful ignorance for non-compliance: The Turquand rule and section 20(7) in the context of special resolutions and fundamental transactions

The Turquand rule has been discussed and fairly applied in the South African jurisprudence. However, an interesting question remains as to whether the Turquand rule or section 20(7) of the Companies Act 71 of 2008 (Companies Act) can be used to compel a party to implement a transaction where the party has not complied with the applicable provisions of the Companies Act requiring a special resolution of shareholders for the disposal of all or a greater part of the company’s assets or undertaking, amalgamation or merger, or a scheme of arrangement (fundamental transactions). The jurisprudence has adopted the take-no-prisoners approach sofar.

Liability of municipal officials for unauthorised, irregular, fruitless and wasteful expenditure

Municipalities have original constitutional powers and are directly responsible for the management of their affairs. They are required to comply with the norms and standards imposed on them by national legislation. The Municipal Finance Management Act 56 of 2003 (MFMA) was enacted to “ secure sound and sustainable management of the financial affairs of the municipalities ”, and “ to establish treasury norms and standards for the local sphere of government ”. One of the ways it does this is by recognising the possibility that expenditure may not occur in a manner that illustrates sound and sustainable management and by creating liability and recovery mechanisms around that recognition to minimise financial exposure for municipalities.
