Roxanne explained the amendment, stating that the provisions of section 45 do not apply where a company gives financial assistance to or for the benefit of its subsidiaries. Important to note is that financial assistance by a subsidiary to a co-subsidiary, or financial assistance from a subsidiary to a holding company will still be caught by the requirements set out in section 45 (including a special resolution of shareholders, amongst others).
