Our finance and banking team is advised Harmony Gold in a US$200 million equity take out bridge loan facility, from a syndicate of banks. The facility will be utilised to fund part of the acquisition of the Moab Khotsong and Great Noligwa Mines from Anglo Gold Ashanti. Our team led work on a range of complex intercreditor issues and handled tough negotiations between the global and local syndicate lenders.

The value of a thorough due diligence process in any merger/acquisition transaction cannot be overstated. Not only does a due diligence (DD) provide comfort to an investor that the financial, operational and legal risks of its investment have been identified and mitigated, but it also provides scope for assessing and testing the valuation of the target. Despite their benefit, due diligence investigations are often viewed as a “ grudge spend ” by investors or an administrative hoop to jump through in order to obtain approval for an investment. In 2003, the City of Johannesburg Metropolitan Municipality (Municipality) took a decision to make use of fixed-term contracts of employment for certain positions. In doing so, the Municipality invited permanent employees to convert their contracts of employment to fixed-term contracts, albeit on equal terms (converting employees). As an incentive, the converting employees were offered a salary increase of between 5% and 10%, as well as payment of an annual performancebonus.
