Ilda dos Santos
Ilda dos Santos is a Director in our Corporate & Commercial practice, and is part of the Oil & Gas sector.
Ilda was the Manager: Legal and Contracts under the Legal and Contracts Division in the Corporate Governance Department at the National Petroleum Corporate of Namibia (NAMCOR) prior to joining CDH and she specialises in corporate and commercial law, oil and gas upstream, midstream, and downstream projects as well as project finance and public procurement matters.
Ilda has advised on major flagship projects in Namibia including the operations and management of multi-billion-dollar National Oil Storage Facility in Walvis Bay, the national oil company's entry into the petroleum retail space under its retail network strategy, which resulted in 11 operating petroleum retail sites, the development of its lubricants supply business, its bulk storage facility in Otjiwarongo. She is also tasked with advising on its entry into the hydrogen space. Ilda also has extensive experience in the Namibian and Angolan upstream oil and gas market having advised in acquisitions and disposal of acreage through farmout processes in Namibia and Angola .

Experience
Legal advisor on the operation and management on of the multi-billion-dollar National Oil Storage Facility in Walvis Bay.
Legal advisor on the establishment of 11 operating petroleum retail sites.
Legal advisor to the national oil company of Namibia (NOC) on its proposed acquisition of oil producing Blocks in Angola. The project scope entails acquisition of 10% interest.
Advised on the sale of a participating interest to major IOC and AIM listed IOC in respect of Walvis Basin offshore, Orange basin and onshore blocks, scope of work including drafting and negotiating terms of Farm-Out Agreement, Escrow Agreement, Deeds of Assignment to Petroleum Agreement and JOA, Deed of Amendment to JOA, obtaining Ministerial consents and approvals, filing merger notices and obtaining Competition Commission approvals and drafting Completion Agreement.
Advised on the sale of participating interest from the NOC of Namibia to supermajor oilco scope of work including negotiating terms of the Farm-Out Agreement and Joint Operating Agreement.
Legal Advisor on the Kudu Gas Field Development Project advising on the dilution of interest by the NOC.
Legal advisor to the exploration division of the NOC of Namibia in respect of various Multi-Client Agreements, Data Licensing Agreements, Participation Agreements and Joint Operating Agreements.
Advised, drafted and negotiated bunkering agreements and the supply of fuel oil, diesel oil, gas oil and blends by bunker barge as well as wholesale, site and retail licences as well as storage and handling of petroleum products in Namibia.
